The Bylaws of our organization have been recently revised by a special appointed committee. The substantive recommended amendments are summarized below. These were reviewed and supported unanimously by your Board of Trustees (BOT). In order for them to be incorporated into the Bylaws, they must be approved by a majority of voting members of NJ AALAS. The changes were discussed at the January meeting and are being brought forth for your vote. The proposed Bylaws are attached to this message. A summary of the amendments is below:
- Separated Officers and Trustees; added Trustee responsibilities
- Amendment – added ability of BOT to amend Bylaws (but must report to voting members)
- Removed TBR – that position is not a voting member of the BOT; TBR is covered in Officer and Committee Manual
- Removed reference to "dinner dance" for Annual meeting
- Removed age requirement for membership
- Clarified Article on Limits of Committee Powers
- Changed that the BOT meets at least once a year rather than up to 9 times a year
